# How to set up an EURL in 2027, and what does it cost?

Updated : 2026-10-22 · Source : https://legalrapide.fr/en/guides/eurl/

An EURL (single-member limited liability company) is set up with one sole shareholder and freely set share capital from €1, and is run by the gérant (manager); as sole shareholder, the gérant is classed as a self-employed worker (TNS). At current rates, the mandatory legal fees for an EURL in mainland France come to **€201.96 incl. VAT** (greffe (commercial court registry), beneficial ownership declaration and legal notice). With LegalRapide's Essentiel plan, setup costs **€0 excl. VAT**: you pay only these legal fees.

## Who is it for?
**A good fit if**: You are starting out alone and want to reduce the social security cost of your pay.

**Worth knowing**: A TNS gérant pays minimum contributions even with no income, and dividends above 10% of the share capital are subject to social security contributions.

## Key features
| Point | EURL |
|---|---|
| Shareholders | One sole shareholder |
| Share capital | Freely set, €1 minimum; at least 20% of cash contributions paid in at formation, the balance within 5 years |
| Manager | The gérant; as sole shareholder, classed as a self-employed worker (TNS) |
| Taxation | Income tax by default if the sole shareholder is an individual, with the option of corporation tax |
| Liability | Limited to contributions |

## Setup steps
1. Choose the name, business activity, registered office and amount of share capital.
2. Draft the articles of association (with LegalRapide: generated from your answers).
3. Deposit the capital into a bank account in the name of the company in formation and obtain the certificate of deposit of funds.
4. Sign the articles of association.
5. Publish the legal notice of incorporation.
6. File the application on the guichet unique (one-stop online portal), which forwards it to the greffe, Insee, URSSAF and the tax authorities.
7. Receive the Kbis extract once the greffe has approved the application.
