2. Purpose

These terms govern the services offered on legalrapide.fr: generation of incorporation documents from the client's answers, review of the file, completion under a mandate of the formation formalities with the guichet unique, and introductions to partners (bank, registered address, accounting, lawyers). They prevail over any other document, unless agreed in writing.

3. Plans and prices

Essentiel€0 excl. VAT: generation of the articles of association, publication of the legal notice, submission of the file to the guichet unique.
Rapide€149 excl. VAT: Essentiel + review by a filing specialist, filing guaranteed within 24 business hours (article 5), anti-rejection guarantee (article 6).
Sérénité€0 for the first month, then €89 excl. VAT per month: Rapide plan free, registered address, partner accountant, e-invoicing and legal questions handled by partner lawyers. No minimum term: the subscription can be cancelled at any time.

Prices are exclusive of tax; VAT at the applicable rate is added. The mandatory legal fees (greffe fees, beneficial ownership declaration, legal notice) are not included: they are shown before payment and recharged to the euro, with no markup. Partner services included in the Sérénité plan are covered by the subscription within the scope stated in the quote; other partner services are invoiced by the partners under their own terms.

Capital deposit option. On all plans, the client may have the cash contributions deposited online with our banking partner, for €69 excl. VAT (VAT extra), invoiced on a line separate from the legal fees. A client who deposits the capital themselves at the bank or notary of their choice and sends the certificate of deposit does not pay for this option. It does not apply to civil companies (sociétés civiles), for which the deposit is not required.

4. Order and mandate

The order is placed from the questionnaire or the client area. The client may pay as soon as the price summary is displayed, before finishing the questionnaire and sending their documents: they then complete these in their client area. Payment does not start the guaranteed filing period, which runs from receipt of the complete file (article 5). The order is formed by acceptance of these terms and payment, made by bank card or by another method offered on the secure payment page of our provider Stripe. The Sérénité subscription is not charged when the formation is ordered: it is activated by the client after registration, from the client area, with a payment method belonging to the company (SEPA direct debit from its account, or card). The first month, which runs from this activation, is free; the date of the first charge is shown before confirmation and in the client area. The subscription is then charged every month and can be cancelled at any time from the client area. Cancellation takes effect at the end of the current monthly period, at no cost; months already started remain payable and the free Rapide plan is not recharged. On cancellation, the registered address service ends on the same date: the client transfers its registered office, and the domiciliation provider is required to inform the greffe. The client gives EPRFRANCEREP SAS a mandate to complete the formation formalities with the guichet unique in the client's name and to submit the necessary documents. The client guarantees that the information and documents they provide are accurate and truthful; they sign their articles of association and declarations themselves.

5. Guaranteed filing period (Rapide plan)

The 24-business-hour period runs from the timestamp of receipt of a complete file, shown in the client area and sent by email with the filing deadline: signed articles of association, certificate of deposit of funds, certificate of publication of the legal notice, proof of registered address, ID document and the director's signed declaration of no criminal conviction. The period is counted in consecutive hours; Saturdays, Sundays and public holidays are not counted (example: complete file received on Friday at 4 pm, filing by Monday at 4 pm at the latest). Filing means submission of the file to the guichet unique. If the complete file is not filed within this period, the service fee (€149 excl. VAT) is refunded within 14 days on request sent to hello@legalrapide.fr; on the Sérénité plan, where the Rapide service is free, a credit of €149 excl. VAT is applied to the subscription. The time the greffe takes to register the company does not depend on LegalRapide and is not guaranteed.

6. Anti-rejection guarantee (Rapide plan)

If the greffe requests a correction or rejects the file because of an error attributable to LegalRapide, the correction and refiling are carried out at no additional service fee. The guarantee does not cover inaccurate information or documents provided by the client, nor any legal fees that may be charged again.

7. Right of withdrawal

A consumer client has 14 days to withdraw (article L. 221-18 of the French Consumer Code). If they request performance of the service before this period ends, they acknowledge that they lose their right of withdrawal once the service has been fully performed (article L. 221-28, 1°), and, if they withdraw before then, owe the amount corresponding to the service already provided. Legal fees already incurred are not refundable.

8. No legal advice

LegalRapide does not provide legal consultations. Documents are generated from the client's answers, and the client remains responsible for their choices. Any question requiring personalized advice is referred to an independent partner lawyer.

9. Liability

EPRFRANCEREP SAS is bound by an obligation of means (best efforts). Its liability is limited to the amount paid for the service concerned, except in the case of gross negligence or willful misconduct, and does not extend to decisions of government authorities, the greffe or partners.

10. Complaints and mediation

Any complaint should be sent to hello@legalrapide.fr. A consumer client may use a consumer mediator free of charge; the mediator's contact details will be given here once appointed. European platform: the European Commission no longer offers it; the client may refer the matter directly to the mediator.

12. Governing law

These terms are governed by French law. For business clients, jurisdiction is conferred on the courts of Paris.
